Do you need to close a business in 2011

For one reason or another, it might be time to shut the doors on your business. Maybe you and a friend formed an LLC for an online venture a few years ago, but over the past year, you?ve both moved on. Maybe you launched a dog-walking business last year, then decided to get a full-time job instead.

Whatever the reason, you?ll need to formally close your LLC or corporation. Otherwise, you can still be charged fees associated with the business and still be required to submit tax returns to the IRS and submit an annual report to the state.

Closing your business isn?t complicated. If you?ve already stopped doing business and are 100 percent certain you?re retiring this business, it?s better to wrap things up before the start of the New Year. By dissolving your business in 2011, you?ll be free from any obligations in 2012 and have a clean slate to focus on whatever?s next.

Here?s how to formally close your business:

Dissolve your LLC or corporation?

An LLC or corporation can be dissolved as easily as it?s created. If you?ve been doing business as a corporation, LLC or partnership, all business associates must vote to close the business and the final vote should be recorded in the meeting minutes. If shares have been issued in a corporation, two-thirds of the voting shares must agree to dissolve the company. If no shares were issued, your Board of Directors must approve the dissolution.

If you have an LLC, refer to the dissolution provisions in your state?s Limited Liability Company Act (known as LLCA). Every state statute has a different set of provisions; follow this statute to the letter to properly close the business and make sure all members of the LLC are not held liable for debts of the company after it?s been dissolved.

In essence, you?ll need to file an ?Articles of Dissolution? or ?Certificate of Termination? document with your state?s Secretary or State office.

Pay off any debts owed by the business

You?ll need to pay any outstanding debts of the company. Most states require the LLC or corporation to settle debts before any distributions are made to members. If your business does not have enough money to pay off all loans and debts, consult an attorney. In some cases, members can be personally liable for those debts after the business has been dissolved.

Distribute remaining assets to members

After debts have been paid, you should distribute the remaining assets and cash reserves to the owners/members in proportion to ownership interest.

Cancel permits, licenses, or fictitious business names (DBAs)

You should also cancel any kind of permit or licenses you hold with your state or county. There?s no reason to hold on to them, and you don?t want to be liable if someone else accidentally or intentionally uses your seller?s permit or other license. If you have been using a fictitious business name, you?ll need to file an abandonment form.

Notify the IRS

Notify the IRS that your business is no longer operating by shutting down the Employer Identification Number (EIN). You?ll also need to file your final federal and state tax returns (check the box indicating that this will be the final return). If applicable, your company?s payroll withholding taxes must be up-to-date (members can be held personally liable if payroll taxes aren?t paid).

Final words of advice

While closing a business is a fairly straightforward task, you should work with a legal document filing service or your attorney, since laws regarding corporate dissolution vary by state. These professionals can advise you on your state?s particular requirements and make sure your company is closed properly, and legally.

Remember to take closing your business just as seriously as you did opening it. Your credit and reputation are at stake. The longer you wait to formally dissolve a company, the more fees and paperwork will come your way. Don?t delay and good luck as you move on to bigger and better things!

NASA's TRMM satellite measured heavy rainfall and powerful towering thunderstorms as Tropical Depression 27W intensified into Tropical Storm Washi today. Now, warnings are up in areas of the Philippines as Washi heads in that direction.

Now that Tropical Depression 27W strengthened into a tropical storm, it has been given two names: Washi and Sendong. Tropical cyclones within each ocean basin are named in six year lists, but some countries will also assign their own names to a storm, so following a storm can get a little confusing. Low pressure areas that form into a depression are given a number and Washi's was 27W, for the twenty-seventh tropical depression in the western North Pacific this season. Once it strengthens into a tropical storm it gets a name.

Tropical Storm Washi, or Sendong as it is known in the Philippines has residents there on guard as it continues to strengthen upon its approach.

The Philippine Atmospheric, Geophysical and Astronomical Services Administration (PAGASA) Weather Forecasting Section, Weather Division is responsible for forecasts of tropical cyclones affecting the Philippines. PAGASA noted in a bulletin today, December 15 at 5 p.m. local time (0900 UTC or 4 a.m. EST): "Tropical Storm 27W (called "Sendong" in the Philippines) is expected to make landfall over Surigao del Sur early tomorrow (Friday) afternoon and by Saturday afternoon, at 220 km East Northeast of Puerto Princesa City. By Sunday afternoon, it will be at 260 km West Northwest of Puerto Princesa City."

As a result of Washi's (Sendong) approach, PAGASA has posted warning signals. Signal One is in effect for Mindanao and Visayas. Mindanao is the second largest and easternmost island of the Philippines. It is one of the three island groups in the country, the others being Luzon and the Visayas.

Included in the warning in Mindanao is the province of Surigao Del Norte including Siargao Island, Surigao Del, Sur and Dinagat Province, Agusan Provinces and Misamis Oriental. Included in the warning in Visayas are the provinces of Eastern Samar and Western Samar, Leyte Provinces, Camotes Island, and Bohol. Heavy rains and gusty winds are expected. Rainfall may cause flooding and mudslides.

On Dec. 15 at 0900 UTC, Tropical Storm Washi had maximum sustained winds near 35 knots (40 mph/65 kmh). It was about 140 nautical miles (161 miles/259 km) west of Palau near 7.7 North and 131.5 East. It was moving quickly to the west at 20 knots (23 mph/37 kmh).

When the Tropical Rainfall Measuring Mission (TRMM) satellite passed over Washi early today, Dec. 15 at 0205 UTC (Dec. 14 at 9:05 a.m. EST) a "hot towering" thunderstorm was seen in the southwestern quadrant of the storm topping 10 miles (16 kilometers) high. Research done at NASA's Goddard Space Flight Center in Greenbelt, Md. has shown that tropical cyclones are likely to intensify within six hours of a "hot tower" being spotted in a tropical cyclone.

Multispectral satellite imagery showed the banding of thunderstorms wrapping into the center of circulation - another indication that the storm is strengthening. The storm is strengthening because the wind shear is light (only 10 knots/11 mph/18 kmh) and the sea surface temperatures are very warm at about 88 degrees Fahrenheit (31 Celsius) which is about 8F warmer than the minimum temperature needed to maintain a tropical cyclone.

The Joint Typhoon Warning Center expects Washi to make landfall on Friday, Dec. 16 and then re-emerge over water in the Sulu Sea. In the meantime, residents of Minandao and Visayas need to prepare for Washi's arrival.

Elizabeth Taylor Jewels Fetch Record $115 Million

Elizabeth Taylor's jewelry collection sold for a whopping $115 million last night to set a world record for the most valuable private collection of jewels sold at auction.

Among the items sold at Christie's auction house in New York City for the highest prices were a pearl necklace owned by the late actress that fetched $11.8 million and a 33.19-carat diamond ring given to her by husband Richard Burton that brought in more than $8.8 million. The auction collection included necklaces, earrings, pendants, rings and other gems.

The ring, which was estimated to sell for $2.5 million to $3.5 million, was purchased by a private buyer from Asia, according to a spokesman for Christie's. Another high-profile item sold was a diamond bracelet given to the Hollywood icon by pop star Michael Jackson. The bracelet had an estimated sale price of $30,000 to $50,000, but ended up selling for $194,500.

Taylor -- who starred in screen classics including Giant, Who's Afraid of Virginia Woolf? and Cat on a Hot Tin Roof -- died in Los Angeles in March at age 79.

Her son Chris Wilding issued the following statement on the auction: "We are extremely gratified by the spectacular results of the jewelry sale last night at Christie's. My mother was an admirer and collector of extraordinary things. The outcome of the sale is a testament to her connoisseurship as well as to the remarkable talents of the team at Christie's. We are deeply moved by the incredible response to her collection. She would be happy to know that her wish for her jewelry to be owned and enjoyed by others was fulfilled."

An additional sale of some of Taylor's art, clothing and memorabilia will be held later in the week and her collection of impressionist and modern art is scheduled to go on sale at Christie's in London in February. Part of the proceeds will benefit The Elizabeth Taylor AIDS Foundation, which she established in 1991 to help people living with AIDS.

BP says Halliburton destroyed Gulf spill evidence (Reuters)

(Reuters) ? BP Plc accused Halliburton Co of destroying evidence that the oilfield services company did inadequate cement work on the Gulf of Mexico oil well that blew out last year, and asked a federal judge to punish Halliburton.

The accusation, in a BP court filing, raises the stakes ahead of a trial, expected in late February, to assign blame and damages for the April 2010 blowout of the Macondo well, which triggered the largest offshore oil spill in U.S. history.

Citing recent depositions and Halliburton's own documents, BP said Halliburton "intentionally" destroyed the results of slurry testing for the well, in part to "eliminate any risk that this evidence would be used against it at trial."

The oil company also said Halliburton appeared to have lost computer evidence showing how the cement performed, with Halliburton maintaining that the information is simply "gone."

BP asked U.S. District Judge Carl Barbier in New Orleans, who oversees spill litigation, to sanction Halliburton by ruling that Halliburton's slurry design was "unstable," a finding of fact that could be used at trial.

It also asked Barbier to direct that forensic experts be hired to find the missing computer data.

"These remedies are amply warranted in law and by principles of fair play, and they are essential to ensure this court's trial is not tainted by Halliburton's misconduct," BP said in the filing.

Halliburton is the world's second-largest oilfield services provider. A spokeswoman, Beverly Blohm Stafford, said the Houston-based company is reviewing BP's filing.

"We believe that the conclusion that BP is asking the court to draw is without merit and we look forward to contesting their motion in court," she said.

The Deepwater Horizon drilling rig's explosion on April 20, 2010, caused 11 deaths, and brought tens of billions of dollars of lawsuits. Halliburton has accused BP of fraud and defamation, among other claims.

BP has also sued Transocean Ltd, which owned the rig, and Cameron International Corp, which made a blowout preventer.

In October, Anadarko Petroleum Corp, which owned 25 percent of the well, agreed to pay BP $4 billion toward clean-up costs and victims compensation.

BP has also reached settlements with Mitsui & Co, whose MOEX Offshore 2007 LLC venture was a drilling partner, and Weatherford International Ltd, which provided equipment used in the well.

The case is In re: Oil Spill by the Oil Rig "Deepwater Horizon" in the Gulf of Mexico, on April 20, 2010, U.S. District Court, Eastern District of Louisiana, No. 10-md-02179.

Report: Google Treading Into Amazon?s E-Commerce Waters

Never content to rest on its search-engine dominance alone, Google is reportedly moving into yet another industry giant?s space. This time, it?s Amazon that may have to look over its shoulder.

The Wall Street Journal is reporting that Google plans to challenge the throne of the e-commerce legend, which has itself branched out into manufacturing products. Google is reportedly in talks with major retailers and shippers about developing a new service that would let consumers shop for clothes, electronics and other consumer goods online and get their order within a day.

Google?s move is a direct assault against one of Amazon?s competitive advantages: Amazon Prime. Amazon Prime is a membership program that gives Amazon customers unlimited fast shipping, such as free two-day shipping and one-day shipping for $3.99 per item. The annual fee is $79.

What Would Amazon Do?

?The fact that Google is getting in on the retail and shipping business is an indicator that it?s a service people are willing to pay for but it?s also something that they expect,? said Charles King, principal analyst at Pund-IT. ?Offering to deliver goods within a day keeps Google in the ballpark as a direct competitor with Amazon, but it also brings up the subject of what is Amazon doing next to stay ahead of the game.?

King makes a valid point. In the early days of e-commerce, Amazon differentiated itself by offering lower prices than bookstores. Amazon later aggregated similar products from various sellers and allowed consumers to choose from various price options. Amazon also gained market advantages with one-click shopping, which allows customers to make online purchases with a single click.

?As more retailers got on the bandwagon, you saw Amazon making some interesting moves in order to stay ahead of the pack. First they offered Super Saver free shipping and then later the offered?

'Jersey Shore' star Pauly D teams up with 50 Cent (AP)

NEW YORK ? He's talked about it, but now Pauly D is officially a member of 50 Cent's music group.

The "Jersey Shore" star officially signed to the rapper's G-Note label Thursday. The label focuses on dance and pop music ? a good fit for Pauly D, since he's known as a DJ as well as a reality star.

He's been working in music since he was 16 and parlayed his success on the MTV hit series into becoming an in-demand DJ. Pauly D even joined Britney Spears for a few dates on her recent "Femme Fatal" tour as an opening act.

A few months ago Pauly D confirmed that he and the rapper were working together.

50 Cent said Pauly D was a "great addition to G-Note and G-Unit family" and called him smart and creative.

Russian independent election watchdog found guilty (AP)

MOSCOW ? A court on Friday found Russia's only independent election watchdog guilty of violations, casting doubt on its ability to monitor Sunday's parliamentary election as voters complain of record violations by the Kremlin party.

The Kremlin is determined to see the dominant United Russia maintain its majority in parliament. President Dmitry Medvedev and Prime Minister Vladimir Putin both made final appeals for the party on Friday, warning that a parliament made up of diverse political camps would be incapable of making decisions.

The respected independent watchdog Golos, which compiles complaints of election law violations across the country and posts them on online, has recorded more than 4,700 complaints, most involving United Russia.

The court agreed with prosecutors that the Golos website violates a law forbidding the publication of public opinion research within five days of an election. Golos was fined 30,000 rubles (just under $1,000).

"They are afraid that Golos will tell the truth. They are concerned that they cannot control us," Golos deputy director Grigory Melkonyants said. "They might silence Golos, but they will not silence those people who witness these violations every day."

He insisted that the group would be able to continue its operations, saying that Russians have a constitutional right to report violations. Golos said it plans to send out 3,000 activists to observe Sunday's election.

Golos' lawyer Ramil Akhmetgaliev was less optimistic. "There could be a case to close down the organization," he said. "It depends on how they want to use the law."

The group has come under growing pressure since Sunday, when Putin accused Western governments of trying to influence the election through their funding of unnamed Russian non-governmental organizations. Golos, whose name means "vote," is supported by grants from the United States and Europe.

Kremlin-controlled NTV television showed a half-hour program on Friday evening that attacked Golos directly. The program included shots of suitcases full of U.S. dollars and claimed that Golos was openly supporting opposition parties and trying to discredit the elections.

United Russia dominates Russia's political life and has received overwhelmingly favorable coverage during the campaign, mostly from Kremlin-controlled national television. But the party is increasingly disliked, seen as representing a corrupt bureaucracy and often called "the party of crooks and thieves."

Putin leads the party and he needs it to do well in the parliamentary election to pave the way for his return to the presidency in a vote now three months away.

On Friday, the final day of campaigning, Putin warned that parliament would be unable to work effectively if members "are punching one another, fighting, pulling one another's hair, as occurs in certain neighboring countries," a clear reference to Ukraine's fractious politics.

"If someone wants to see a show, then they should go to the circus, the cinema or the theater," Putin said during a televised visit to a shipbuilding plant.

Medvedev, in a formal televised address, also warned about the dangers of a parliament "torn by irreconcilable conflicts, incapable of making a decision."

The independent Levada Center released a poll last week that predicted United Russia would receive 53 percent of the vote. While still a majority, this would deprive the party of the two-thirds majority that has allowed it to amend the constitution.

Golos said this week that about a third of the complaints it has received come from voters who say they are being pressured to vote for United Russia, mostly by their bosses at work or their professors at universities. Fears that the vote count will be rigged also were running high.

Lilia Shevtsova, a political scientist at the Carnegie Moscow Center, said most Russians are under no illusions that the election will be fair.

"Everybody understands in Russia that this election is without any kind of choice," she said. "More than 55 percent of Russians consider that the forthcoming elections will be fraudulent and will be manipulated."

Six other Kremlin-approved parties have been allowed to field candidates, while the most vocal opposition groups have been barred.

The Levada poll indicates that the Communist Party may benefit from the protest vote, with its share of the vote predicted to rise to 20 percent from less than 12 percent in 2007. The poll also shows an uptick for the two other parties in parliament: the nationalist Liberal Democratic Party and Just Russia, a party established with Kremlin support to lure votes from the Communists.

Dipping with the Stars

Most systems in the body have a rhythm, a daily cycle. Interrupting that rhythm can have detrimental consequences. Shifting sleep cycles can alter mental status and increase errors that result in accidents. Other more subtle changes in rhythm can also kill you through less obvious mechanisms.

Blood pressure (Bp) normally falls by 10 mmHg during sleep (green lines in figure), a phenomenon called dipping. Many patients with hypertension lose this dip (red lines in figure), and these patients have greater risk of heart disease and death over time. Loss of the dip increases the risk of heart disease above that of hypertension in which the dip is preserved. Clinical studies suggest that restoring this dipping profile may reduce protein in the urine, heart attacks, and death over the short term.

How can we demonstrate the dip? Continuous ambulatory blood pressure monitoring provides the answer. Patients wear an automatic Bp cuff that inflates every few minutes throughout the day and night. This important clinical tool shows the overall level of Bp control as well as its pattern.

Restoring the dip is really pretty easy. The patient takes at least one Bp medication at bedtime. Recent work from Spain shows that long-term restoration of normal circadian Bp patterns is beneficial in patients with chronic kidney disease (CKD).

CKD patients often have hypertension that requires multiple medications to control; almost half of the patients in the study required 3 or more drugs for high blood pressure. The researchers first performed ambulatory monitoring in CKD patients, then randomly assigned them to take all of their Bp medications in the morning, or to take at least one drug at night. Approximately two-thirds of patients assigned to each group did not dip at night before the study began. Continuous ambulatory Bp monitoring was performed at least annually on every one of the 661 patients included in the final analysis. A number of events were analyzed over 5 years, including death from all causes and a variety of heart and vascular disease issues, including heart attack and stroke.

Giving at least one drug at bedtime restored the dip; 71% of the morning medication patients did not dip at study?s end, while bedtime dosing dropped nondippers to 41%. Bedtime dosing also produced more patients with controlled 24-hr Bp levels (56.5 vs. 45.2%). So bedtime dosing reduces overnight Bp for many years. Does it do anything to risk? Yes ? bedtime dosing patients suffered all outcome events at 31% of the rate of patients taking all medications in the morning. The rate of major cardiovascular disease events, including heart attacks and strokes, dropped to 28% of the Morning group. In other words, something as simple as moving at least one Bp med to bedtime could reduce the risk of death and cardiovascular disease by more than two-thirds in CKD patients.

Of course, this study only examined 661 patients. They all had some degree of CKD, and the results may not apply to the vast majority of patients with high blood pressure. DO NOT change your own medications around without talking to your doctor, but DO talk to your doctor about bedtime dosing. It could save your life.

The real question, of course, is why dipping is so important. For that matter, why does Bp dip at night? Of course, science has yet to figure out why sleep happens!

We can try to figure out what makes Bp dip overnight. When Bp drops below a certain level, the sympathetic nervous system (an involuntary part of the brain and nerves that regulates basic body functions) increases activity to the heart and blood vessels to increase Bp and keep circulation going to vital organs. This phenomenon is called the baroreflex. During sleep the threshold Bp at which this activation occurs shifts down. In other words, Bp can drop lower and stay there longer without activating the baroreflex. While inactivity of muscles during sleep may contribute to this phenomenon, at least one study suggests that dipping is a more deliberate physiological process.

We may not yet know why, but people are clearly meant to sleep at night for their health and welfare, including heart health.
