Annie was the girl that greeted him each day in the office and who called him from no matter where she was around the globe ? both to check in for work and also because she cared enough to see how he was doing.
Annie may have been quicker to see that her feelings for Auggie had deepened and that she was falling in love with him, but quickly she put aside her feelings to let them both pursue their career goals and other relationships.? She knew in heart that? Auggie had to find out for himself if the relationship with Parker, with whom he was briefly engaged, could endure the test of time.? Fortunately for Annie, time was on her side and Parker became yet just another grain of sand in the ever-shifting hourglass.? But fate was unkind as Annie?s own undercover assignment introduced her to Simon Fischer and that clever spy stole her heart while she was not looking. ?
But in the wrestling match between fate and destiny, Annie?s world shattered again when the treacherous double-agent Lena? Smith (Sarah Clarke) shot Simon point-blank in the chest and turned the gun on Annie as well.? Annie may have survived, but if left an aching hole in heart where she had loved Simon.
Lena?s dastardly attempt to assassinate Annie along with Simon, however, was a wake-up call for Auggie.? Still grieving the loss of his own lady love, the thought of losing Annie as well struck him like a knife; and as if it were not enough that Lena tried to kill Annie and placed her at death?s door, Lena framed Annie as a traitor too.? Auggie had thought he had all the time in the world to coast through his life and take his relationship with Annie for granted. But one bullet to the chest was all it took to remind him that time waits for no man.? So while Auggie could not fight for Annie?s life as she lie in that hospital bed, he could fight for Annie?s career and clear her name.? That moment of clarity became the turning point for Auggie, who he suddenly realized that he could not live without Annie ? that he could lose anyone else in his life, but not her.
Yet when Annie who came back from her near brush from death, she was not quite ready for love again.? Still raw from having the life she dreamed up ripped out from under her, Annie?s heart was full of vengeance.? She would not rest until she had tracked down Lena and ended her life as coldly as Lena had attempted to end hers ? no matter the risk.? It was a fool hearted mission, and one which Annie may have regretted once she found herself stuck in a Russian prison without hope that the CIA would come for her.? Fortunately, Auggie was not about to allow fate to snatch Annie away from him again after she had fought off death itself, and he recruited Mossad agent Eyal Lavin to break Annie out of hell on Earth.
Alas, Auggie may have just handed over the love of his life to Eyal, who reaps the rewards of a grateful woman who thought the world had given up on her.? As we saw in this last episode, Eyal was back by special request of both his government and ours.? But it also provided a chance for Eyal to finally meet the man with the grand plan, who helped save Annie.? That bear-hug greeting from Eyal was not just to greet Auggie, it was to thank him.? Auggie had given Eyal something he had scarcely dream of, a love of his own. ?
The next page of Annie?s love story is yet unwritten, but we anxiously await to see if Eyal will prove worthy of Annie?s love.? Right now Eyal appears to be placed in a position where his government requires him to recruit Annie as a double-agent, yet he is struggling against his tender feelings for Annie and the trust she has bestowed upon him.? He realizes that if he continues to push her into betraying her country, she may never forgive him.? He also wonders if he can give up his own country for her.? This was the test that Simon faced and passed. Simon forsake his country for Annie and died because of it.? Such a harsh lesson may give Eyal pause. But Annie is worth it, if he only wants to reach out and take that risk.
Auggie may not realize that the game board has shifted again with Annie?s love up for grabs, but Auggie has learned one thing along the way:? Annie is not going anywhere.? She is loyal to her country and she will always come back to him.? He may not know that she already loves him, but he does sense that she would never leave him.? He just needs to be patient.
There is a saying that ?if you love something, set it free, and if it comes back to you, it is yours forever.?? That is Annie Walker.? She always comes back.? Her love story is not yet over, and Auggie need only wait. She will be his forever.

LNG player GDF SUEZ of France said that Senoko Energy in Singapore has begun commercial operation of two combined cycle gas turbine units, each with a capacity of 430MW.
The two new units are part of Senoko Energy?s Repowering Project, announced in 2008, which aims to convert two thirty-year old oil-fired units into technologically advanced and efficient combined cycle units, reducing Senoko Energy?s carbon emission by more than a million tonnes a year.
Senoko Energy is the largest power generation company in Singapore, operating a 3,300MW portfolio and providing around 25% of the country?s electricity needs. Electricity demand growth in Singapore has averaged 4% per annum over the past 10 years. Through its 30% ownership in Senoko Energy, GDF SUEZ has a strong position in this market.
In Asia, GDF SUEZ also has operations in Thailand, Singapore, Pakistan, Indonesia and Laos. It has nearly 11GW of power generation capacity in operation and under construction.

Mike Berry was in his basement at 4 p.m. on Monday when he heard a loud thud.
"Usually it's my boys jumping off their bunk beds or swan diving off the stairs," Berry said.
Then, he heard a cracking noise.
A large oak tree in his front lawn had crashed onto the roof of his home in the 1400 block of Catlyn Place in the Heritage community.?
"My first thought was check to make sure it didn't come through my house or hurt my kids," Berry said.
He was in luck?the tree branches didn't break the window in his guest bedroom or pierce through its ceiling.
The power even stayed on.
"That's the most amazing thing," Berry said. "We lose power every storm?usually within the first hour."
Berry, his wife and their four children slept downstairs in their split-level home, and the couple listened for any sounds that the tree was shifting or sliding throughout the night.?
Hurricane Sandy took down several large trees in Annapolis and knocked out the power for about one quarter of Anne Arundel County on Monday night. Annapolis recorded winds of up to 69 mph, and City Dock flooded up to Memorial Circle. In Pasadena, a 73-year-old man died when a tree crashed through his house.
Berry said he felt lucky that his tree only gave his house "a glancing blow."
By Tuesday morning, Berry had hired a tree company and was told the tree would be gone by the afternoon. Aside from the "insurance nightmare," Berry said he feels like his family survived Hurricane Sandy with minimal impact.
"Would you rather have a tree laying on your house or no power?" Berry asked. "I think we'll take the tree."

PARIS (AP) ? The 35-hour work week? Untouchable. The social safety net? Untrimmable.
So how on earth can France's Socialist government keep its promise to make this country, and Europe, more competitive in the global marketplace? Slowly and carefully, President Francois Hollande says.
After meetings with world finance chiefs Monday, he acknowledged "there are measures to take" on reducing the cost of labor in France, among the world's highest ? but said they "should be spread out over time."
Many economists say France could be running out of time, however, and that could have repercussions beyond its borders. Geographically and economically between Germany and Spain, France has allied with its northern neighbor to manage the eurozone crisis, but its huge state debts and chronic unemployment are making it look increasingly like struggling Spain.
The head of the World Trade Organization said that "it's particularly urgent" for France to loosen up its economy. "This link among growth, competitiveness and jobs ... is the major problem of France and to a certain degree Europe right now," Pascal Lamy told Hollande at the Monday meeting.
The French government is hoping that gradual change is the way to go, and that a series of private meetings and cautious public statements in recent days will mollify both fearful workers and employers who say it's no longer worth the cost to hire.
"It's not going to be a question of shocking or brutalizing the French economy," Economics Minister Pierre Moscovici said Friday. "It's going to be continuous action, spread over our entire mandate."
The WTO promotes free trade and has criticized government intervention in big French companies, saying France should stop protecting its industry.
But after Hollande was elected in May, the Socialists' first response to France's lagging economy was to create an agency essentially dedicated to meddling: the Ministry of Industrial Recovery. That failed to keep unemployment from rising, or some of France's biggest corporations from announcing thousands more layoffs ? including carmaker Peugeot Citroen, Air France and retail giant Carrefour.
Hollande then asked one of the country's most respected businessmen, former Airbus chairman Louis Gallois, to spend months drawing up plans to make France more competitive. But as reports leaked over the past week about the report's recommendations ? rethinking the controversial 35-hour week, shifting some of the tax burden to workers, cutting public spending ? the government swiftly distanced itself.
"I'd advise against the idea of a shock, which has more of an attention-getting effect than a real therapeutic effect," Hollande said Thursday. Without offering details, he said he would prefer a "pact" among the government, workers and employers.
France has only to look south to neighboring Spain for reasons to go slowly with major labor reforms. Spain, facing the possibility of default, had little choice but to impose stark reforms, but the results have been dire: Tens of thousands of people joined anti-government protests as unemployment hit 25 percent.
France isn't in as bad shape as Spain ? borrowing costs remain low and the jobless rate is just over 10 percent. But it faces many of the same long-term problems: Rigid work rules, including the 35-hour week, high administrative costs, strict government oversight of layoffs and generous severance when job loss is inevitable. The upshot is that corporate profits end up being taxed more than 60 percent.
Since 1984, French unemployment has been below 8 percent for only 16 months.
The government, and the French, hope Germany's more robust economy is ultimately a better comparison. And some say there are signs that the French are ahead of their government in realizing that something has to give.
Despite the official length of the French work week ? it's equal with the Democratic Republic of Congo as the shortest in the world, according to World Bank figures ? French employees actually labor on average about 40 hours weekly, according to several polls. "There's a maturation that is happening in French society, even if we still have leaders who can't admit it," said Gerard Dussillol of the pro-market Thomas More Institute.
But the French themselves have their limits, especially when it comes to taxes. According to recent surveys, six in 10 French think the cost of labor is hurting the economy, but fewer than three in 10 think the burdens should shift to workers.
"When you take a paystub in France and one in Germany, and you see it costs 25 percent more in France than in Germany, you don't need a study" to know which country will come out ahead, said Dussillol. Meanwhile, Hollande and others fret about France's eroding share of global GDP, which has been cut in half to about 2 percent since 1990.
The heads of major French companies came together to demand that the government lower their labor costs by a total of ?30 billion over two years. On Monday, Moscovici said that wouldn't happen, explaining that the government could neither risk raising taxes on already struggling consumers nor abandon its plan to reduce the deficit.
Economists are doubtful about real labor reform under a Socialist government, saying they expect the competitiveness report from Gallois, due Nov. 5, to fall into the same dust-gathering category as 40 other studies compiled over the past decade.
"The rest of the world continues to finance the French economy," said Jean-Christophe Caffet, an economist for Natixis.
Markets are starting to take notice.
Standard and Poor's downgraded France's largest bank BNP Paribas on Thursday and lowered expectations for 10 others, citing high unemployment, lower domestic growth and the European recession.
"We've been in this kind of infernal machine for a long time," said Dussillol. "Certain economic systems are stable for years and then suddenly it falls apart."

The Steelers won?t have safety Troy Polamalu, tackle Marcus Gilbert or running back Rashard Mendenhall, while Isaac Redman has a chance of joining Jonathan Dwyer in the backfield after being listed as questionable.
Patriots vs. Rams (in London)
The Patriots ruled out seven players, a number that dropped to six when they placed cornerback Ras-I Dowling on injured reserve. Tight end Aaron Hernandez did not make the trip to London and safety Patrick Chung is also among the missing. Rams wide receiver Danny Amendola is questionable in his attempt to make a quick return from his separated SC joint and the team may be left to start Joe Barksdale at left tackle again with Rodger Saffold out and Wayne Hunter missing practice all week.
Colts at Titans
Colts running back Donald Brown practiced fully on Friday and is listed as questionable. Linebacker Robert Mathis was limited after missing practice on Wednesday and Thursday, but holds the same designation. The Titans will start Mike Otto at left tackle in place of Michael Roos, which might make it a wise choice to give quarterback Jake Locker another week to heal up.
Raiders at Chiefs
The Chiefs are pretty healthy coming out of their bye with running back Peyton Hillis likely to play after getting listed as probable. Defensive end Glenn Dorsey is questionable. Tackle Khalif Barnes and cornerback Shawntae Spencer are still out for the Raiders, who are considering whether or not to activate linebacker Aaron Curry from the PUP list.
Giants at Cowboys
The Giants listed safety Kenny Phillips and defensive tackle Rocky Bernard as doubtful, while running back Ahmad Bradshaw is questionable despite his guarantees that he will be on the field against the Cowboys. The Cowboys will be without running back DeMarco Murray and Felix Jones is questionable as his replacement which could leave a lot of work for Phillip Tanner. Center Phil Costa, defensive lineman Sean Lissemore and safety Matt Johnson will also miss the game for Dallas.
Saints at Broncos
Tight end Jimmy Graham?s status will be determined on Sunday, which means he?ll be traveling with the team to Denver. Linebacker David Hawthorne is in the same boat. The Broncos only have one serious injury concern. Cornerback Tracy Porter is questionable for a date against his old team after experiencing symptoms similar to ones he felt before suffering a seizure this summer.

Older patients with chronic obstructive pulmonary disease (COPD) are at increased risk for carotid artery plaque formation and for the presence of vulnerable plaques with a lipid core, according to a new study from researchers in the Netherlands.
"We know that COPD is a risk factor for ischemic stroke, and that certain components of carotid artery plaques such as intraplaque hemorrhage and lipid core increase the risk of ischemic events, but plaque composition in patients with COPD has not been examined," said researcher Bruno H.C. Stricker, MD, PhD, professor of pharmaco-epidemiology at the Erasmus Medical Center in Rotterdam, the Netherlands. "In our study, carotid artery wall thickening was increased twofold in older COPD patients compared with controls with normal lung function, and COPD was an independent predictor of the presence of plaques with a lipid core, which are more prone to rupture."
The findings were published online ahead of print publication in the American Thoracic Society's American Journal of Respiratory and Critical Care Medicine.
The cross-sectional study, part of the Rotterdam Study, an ongoing population-based cohort study examining the occurrence of and risk factors for chronic diseases in subjects aged 55 years and older, involved 253 COPD patients and 920 controls. COPD was confirmed by spirometry. Subjects with carotid wall thickening (intima-media thickness ? 2.5 mm) on ultrasonography underwent high-resolution magnetic resonance imaging (MRI) to characterize carotid plaques.

"Clinicians should be aware that COPD patients are at increased risk for asymptomatic carotid atherosclerosis and that COPD might lead to vulnerable plaques by inducing or aggravating the presence of plaques with a lipid core," said Dr. Stricker.
The study had a few limitations, including the study's cross-sectional design, which doesn't allow causal associations between COPD and carotid plaques to be inferred, and the lack of computed tomography confirmation of emphysema
"The results of our study provide new insights into the relationship between COPD and the increased risk for stroke seen in these patients," concluded Dr. Stricker. "Understanding the underlying risk factors for stroke in COPD patients can help identify those at high risk and lead to the development of more personalized preventive treatment strategies targeting this devastating complication."

NEW YORK (AP) ? David Stern took the NBA around the globe in nearly three decades as commissioner, turning what was a second-rate league into a projected $5-billion-a-year industry.
Now, confident a worthy successor is in place with a labor deal that will ensure the game's continued growth, Stern is ready to stay home.
Stern will retire as commissioner Feb. 1, 2014, 30 years to the day after taking charge of the league, ending one of the most successful and impactful careers in sports history. He will be replaced by Deputy Commissioner Adam Silver.
"I don't know what else to say other than to recite what I told the owners yesterday in executive session," Stern said Thursday during a press conference after the board of governors meetings. "I told them that it's been a great run, it will continue for another 15 months, that the league is in, I think, terrific condition."
Stern is the one who got it there, turning a league with little-to-no TV presence ? the NBA Finals were on tape delay in the early 1980s ? into one that's televised live in 215 countries and is pro sports' leader in digital and social media.
He has been perhaps the model sports commissioner.
Name an important policy in the NBA ? drug testing, salary cap, even a dress code ? and Stern had a hand in it. A lawyer by trade, he was a fearless negotiator against players and referees, but also their biggest defender any time he felt they were unfairly criticized.
"For all the things you've done for the NBA and for sports generally, I think there's no doubt that you'll be remembered as the best of all-time as commissioners go and you've set the standard, I think not even just for sports league commissioners, but for CEOs in any industry," Silver told Stern sitting to his left on a podium.
Stern told owners of his plans during their two days of meetings, and the board unanimously decided Silver would be his successor. Owners will begin negotiations with the 50-year-old Silver in hopes of having a contract completed by their next meeting in April.
Stern, who turned 70 last month, became commissioner on Feb. 1, 1984. He has been the NBA's longest-serving commissioner, establishing the league's brand around the world, presiding over team expansion and overseeing the establishment of the WNBA and the NBA Development League.
"There is no debate that David Stern has earned his spot in the pantheon of sports commissioners. Deservedly, his name and reputation will always be synonymous with the phenomenal growth and success of the NBA over the last three decades," union executive director Billy Hunter said in a statement. "His absence will surely be felt by anyone connected to the NBA and the sport of basketball, although clearly the league will be left in very capable hands with the appointment of Adam Silver as the next commissioner."
Seven franchises have been added under Stern and the league has seen a 30-fold increase in revenues. Stern insisted the NBA have a presence on social media, and the league and players have more than 270 million likes and followers on Facebook and Twitter.
"There are all kinds of other business metrics we could look at that would define David as one of the great business leaders of our time," Silver said.
Stern said he decided on his plans about six months ago, having guided the league through a lockout that ended last December. He didn't want to leave until the labor deal was completed or until he was confident there was a successor in place, and both are done. Silver has worked at the NBA for 20 years and been the league's No. 2 since 2006, and both Stern and league owners praise his abilities.
"A couple of things that stand out to me is that David has been, in my estimation, the type of commissioner that has set the standard not only for the NBA but for all of the sports," said Minnesota Timberwolves owner Glen Taylor, the outgoing chairman of the board of governors. "We have done so many wonderful things in the organization. The marketing, leadership, the brand recognition, going international way before our times, and David has led that."
Taylor said there's been a "40-fold" increase in revenues from the league's national TV contract, and that the average player salary will have had grown from $250,000 when Stern took over to $5 million by the end of the current collective bargaining agreement.
Stern was the league's outside counsel from 1966-78, then its general counsel before becoming executive vice president of business and legal affairs from 1980-84. He replaced Larry O'Brien to become the league's fourth commissioner, getting a boost in taking the game mainstream with the popularity of Magic Johnson and Larry Bird, and soon Michael Jordan. The league began marketing its stars, and Stern found the desire for them was greatest in some far-away lands.
The real explosion came in 1992, when those three headed the Dream Team that led the U.S. to the Olympic basketball gold medal while winning fans around the world. The NBA has gone on to play games in 17 countries, staging 114 international games.
"He's done a remarkable job," Major League Baseball Commission Bud Selig said at the World Series. "To think of what the NBA was when he came in and what it is today, most people judge him very, very highly."
There were rough patches, particularly the brawl between Indiana Pacers players and Detroit Pistons fans in 2004, and the betting scandal involving former referee Tim Donaghy. Stern had already passed off most of the heavy lifting to Silver by last year, but he was the one absorbing the criticism during the lockout for the second shortened season in his tenure.
He sometimes appeared worn down during the negotiations, even missing one critical bargaining session while sick, but insists he's got plenty of energy to keep working now.
"I feel great," Stern said. "I'm enjoying my job, but I'm looking forward to doing some other things. I'm stepping down, I'm not retiring."
Stern just recently returned from China, Germany and Italy, and plans another overseas trip next season, and will remain an adviser to the league in retirement on international matters.
"We just think that his leadership will be important to our future," Taylor said.
It's meant everything to the league's past.
The league has reported huge increases in ticket and merchandise sales, and TV ratings are at an all-time high. Last season's lockout, the second time the league lost games to a work stoppage, hardly made a dent in the league's business or in fans' interest.
But even for Stern, business has always taken a back seat to basketball. He's sought changes to improve the product on the court, such as the elimination of isolation play that bored him, to implementing penalties that go into effect this season for flopping.
"For the most part it's been a series of extraordinary experiences and enormous putting together of pieces of a puzzle and it goes on forever," Stern said. "And there will always be another piece of the puzzle and so the question is at what point do you decide that, let someone else do it? That's the point that I'm at now."
Taylor and Spurs owner Peter Holt, who is replacing him as board chairman, said the owners will work to have a contract with Silver by April. Silver, who served a variety of positions before becoming deputy commissioner, was the lead negotiator during the lockout and Stern has relied more heavily on him in recent years, even turning to Silver to answer questions on tougher topics.
Stern said he wouldn't leave until he knew there was a successor ready, and he has repeatedly said Silver is ready for that role. Stern said he would always remain available to take a call and help the league.
"Life is a journey and it's been a spectacular journey," Stern said. "Each step along the way there are things that you have to do, things that you maybe wish you hadn't done. But I don't keep that list, and so I'm totally pleased and I'm particularly pleased with the transition of which we're now embarking."

INDIANAPOLIS (AP) ? Embattled Senate candidate Richard Mourdock and national Republican officials said Thursday they were moving past the uproar over his comments that a pregnancy resulting from rape is God's will and refocusing the nation's political conversation on the presidential and congressional elections less than two weeks off.
But even as they tried to recover, Senate Democrats dropped $1.1 million on an ad keeping the spectacle alive and linking Mourdock's comments to Republican presidential hopeful Mitt Romney.
"God intended that a woman be raped and become pregnant? Even Mitt Romney and (gubernatorial hopeful) Mike Pence believe Richard Mourdock goes too far," the narrator says in the statewide spot, which began running Thursday night? 48 hours after Mourdock made the remark in a debate. Democrats said it would continue running over Indiana's airwaves through the Nov. 6 election.
Mourdock spokesman Brose McVey called the ad "sleazy."
"Now Donnelly and his liberal Washington allies are attacking Richard Mourdock's faith and beliefs," McVey said, adding the ad violates an agreement signed by the campaigns not to use footage from the debates, but the Democratic Senatorial Campaign Committee in Washington never signed that pledge.
The blistering speed with which national Democrats produced and aired the spot was a swift shove against a series of stubborn, stalemated contests, from the presidential race to the battle for control of the Senate and the Indiana race in particular. The state's open Senate seat is a must-win if Republicans are to gain the four seats they need to win control of the Senate if President Barack Obama wins reelection, three seats if Romney prevails.
The ad's subject matter_rape, abortion, and God? illustrated the overarching importance of one group of voters critical to every locked contest: Women voters. In Indiana, the pool of undecided voters is more than 60 percent women.
Obama and his Democratic allies have battled all year for the trust of female voters, with Democrats charging that Republicans were waging a "war against women" and Republicans insisting that their economic plans offered more to this critical bloc that suffered from the recession more than men.
Obama started the year with a big lead among women. But the latest Associated Press-GfK poll found Romney running even with the president among this group, erasing a broad gap in the president's favor. Romney made particularly large gains among women on handling the economy. However, he lags behind the president as more trusted to make the right decisions on women's issues.
The president weighed into the Mourdock matter early.
"Rape is rape. It is a crime," he said on The Tonight Show with Jay Leno. "This is exactly why you don't want a bunch of politicians, mostly male, making decisions about women's healthcare decisions."
For his part, Romney's campaign quickly issued a statement saying that he disagrees with Mourdock on the issue. But he allowed an ad endorsing Mourdock to continue to run in Indiana, and the candidate himself ignored reporters questions about the matter in Ohio on Thursday.
Mourdock turned back to campaigning Thursday morning, holding a breakfast fundraiser west of Indianapolis with South Carolina Sen. Jim DeMint. The National Republican Senatorial Committee, meanwhile, continued hitting Democrat Joe Donnelly for co-sponsoring the a bill supported by Missouri Republican Rep. Todd Akin that would have barred federal funding for abortion in cases of statutory rape and incest. Akin also is struggling to recover from his own "legitimate rape" comment, aired in August, in his challenge to Democratic Sen. Claire McCaskill.
But unlike Akin, Mourdock was receiving support from loyal allies and even a few national Republicans.
"I don't know that I've ever in my many years in politics gotten such support, physical support, people come up and giving me hugs all day yesterday and telling me they're praying for me and my wife. We're moving forward and very confident with what the outcome will be," Mourdock told WTHR-TV in Indianapolis following his fundraiser with DeMint.
The party's 2008 nominee, Arizona Sen. John McCain, meanwhile walked back his request that Mourdock apologize for the comment, saying in a statement Thursday he was happy with Mourdock's explanation of what he meant.
With less than two weeks until the election, the Republican damage control strategy is: no more Akins.
"I think it makes a lot of sense to change the subject. As long as you're talking about this, you're losing," said Republican pollster Christine Matthews.
On Thursday, Mourdock tried to reclaim the strategy he had pursued up until Tuesday: tying Donnelly to Obama.
"Maybe the president ought to come out to Indiana and talk about it with Donnelly," Mourdock said in a statement emailed to the Associated Press. Mourdock's deputy campaign manager Brose McVey said the campaign planned interviews with television stations in Terre Haute, Ind. Thursday and a press event in New Albany, Ind. Friday, the southern Indiana town where he made the abortion comment during a Senate debate.
"This is a very competitive race and we're not going to back down and we're confident we're going to win," McVey said Thursday.

Giant state highway builder Vietnam Expressway Corporation faces incurring default in repayment of mature project bond yields following a Ministry of Finance?s recent move.
The ministry (MoF) just enacted Document 12761/BTC-QLN requiring Vietnam Expressway Corporation (VEC) to self arrange capital sources for payment of mature bond yields to Japan-based Dai-i-chi life insurance company.
The move poured cold water on VEC?s expectation of receiving further support from MoF and might push VEC into legal proceedings with its creditors.
?This means the MoF rejects to again act as bond underwriter for VEC?s further bond issuance,? said VEC deputy general director Luong Quoc Viet.
At this time, VEC?s single financial source is toll collection which amounts to around VND700 million ($33,000) per day from the Cau Gie-Ninh Binh expressway. However, this sum is reportedly prioritised to pay completed work volumes for contractors, so the possibility of using the sum for paying mature bond principle and yields owed to Dai-i-chi and some other creditors is fragile.
By mid-October 2012, VEC owed a total VND516.1 billion ($24.5 million) to creditors, including VND100 billion ($4.7 million) principle and VND416 billion ($20 million) mature bond yields of a lending package worth VND4.4 trillion ($210 million) with MoF acting as underwriter to raise investment capital for carrying out Cau Gie-Ninh Binh and Noi Bai-Lao Cai highway projects.
Since VEC project bonds are liable for circulation in five years maximally where as it needs up to 30 years for VEC to recoup capital from these highway projects, VEC was green-lighted by the government to issue bonds for repayment.
However, in early September 2012 the MoF abruptly stopped its guaranteeing role though earlier it had accepted for VEC to issue VND1.819 trillion ($86.6 million) project bonds to further construction and repay creditors.
?VEC currently comes below par in respect to the conditions to issue corporate bonds with the government acting as underwriter pursuant to existing regulations,? said head of MoF?s External Finance and Debt Management Department Nguyen Thanh Do.
Accordingly, VEC could not satisfy two basic conditions ? reporting profitable business in the most recent year and getting approved audited financial statement.
Requiring VEC to post profits right during initial investment state is almost impossible as Viet was quoted as saying ?Calculations show that VEC would incur losses until 2021 on the back of huge financial costs as it has to pay loan principle and interests of its projects and big amortisation costs whereas income-raising sources remain limited.?
Industry insiders assumed MoF?s recent move to reject underwriting for VEC bond issuances would distort the government?s bond market which is still at its dawn. Besides, rigid regulations relevant to conditions for issuing corporate bonds are pushing VEC into a corner.
?VEC and relevant state agencies are proposing the government to soon enact a specific regime on bond issuance for repayment purposes. However, when such a regime is still absent, MoF should consider further handling its underwriter role to help VEC ensure creditor interests,? Viet said.
